1. About these Terms
These B2B Terms of Sale (“Terms”) govern the sale of products (“Products”) by SOLANO LV SIA (“Seller”) to business customers (“Buyer”).
Consumer sales are not covered. Separate terms may apply to services.
2. Orders and contract formation
Quotations are non‑binding unless stated otherwise. An order is accepted when Seller issues a written order confirmation or dispatches the Products.
Buyer is responsible for accuracy of order information (part numbers, quantities, delivery details, VAT).
Minimum order values may apply, as communicated in quotations or price lists.
3. Prices, taxes and duties
Prices are shown exclusive of VAT and other taxes unless specified.
Seller may correct evident errors and adjust prices prior to order acceptance due to changes in duties, raw material or freight costs.
Unless agreed under DDP, Buyer is responsible for all import duties, taxes and customs clearance charges at destination.
4. Payment terms
Payment is due in advance unless a trade account is approved. For approved accounts, invoices are due Net 30 days from invoice date, unless otherwise agreed in writing.
Seller may suspend deliveries if any invoice is overdue. Late payment interest may be charged at the statutory rate or 1% per month, whichever is higher, where permitted by law.
All bank charges are borne by Buyer; payments must reference invoice number.
5. Delivery, Incoterms® 2020 and cut‑off time
Default delivery term is FCA Riga, Latvia (Incoterms® 2020), unless otherwise agreed in writing. Other options (EXW, FOB, DAP, DDP) are available upon request.
Risk transfers in accordance with the agreed Incoterm. Title passes to Buyer upon full payment.
Orders confirmed by 14:00 (Riga time, EET/EEST) are targeted to ship the same business day for in‑stock items. Orders after 14:00 are processed the next business day.
6. Delivery dates and delays
Any indicated delivery dates are estimates. Seller will use reasonable efforts to meet them but is not liable for delays beyond its reasonable control.
Buyer shall provide all information reasonably required for export, transport and delivery.
7. Inspection and claims upon delivery
Buyer must inspect Products on delivery and note visible damage or shortage on the carrier’s CMR/POD.
Claims for visible transport damage/shortage must be notified within 7 days of delivery; hidden defects within 30 days of discovery.
Claims must include order number, product code, batch/lot, photos and description. Seller may request samples for analysis.
8. Warranty
Seller warrants that Products conform to published specifications at shipment and are free from material defects for 12 months from delivery, unless stated otherwise.
Remedies are limited to repair, replacement or refund at Seller’s discretion.
Exclusions: normal wear; misuse; storage/use outside specification; use contrary to SDS/TDS; unauthorised modifications.
9. Returns (RMA)
Returns require prior written authorisation (RMA). Unauthorised returns may be refused.
Non‑defective returns, if accepted, must be unopened and resaleable and may be subject to a restocking fee up to 15%.
10. Compliance, export controls and sanctions
Buyer represents that Products will not be used for restricted end‑uses or shipped to sanctioned persons or destinations.
Buyer shall comply with applicable export control, sanctions and hazardous materials laws and obtain any required licences.
11. Product safety and documentation
Buyer shall use Products in accordance with technical data sheets (TDS) and safety data sheets (SDS).
Where required, Buyer must ensure downstream users receive relevant safety information.
12. Liability limitation
Seller’s aggregate liability arising out of or in connection with the sale is limited to the price paid for the affected Products.
Seller is not liable for indirect, special or consequential losses (including loss of profit, production or goodwill).
Nothing limits liability that cannot be limited by law (e.g., personal injury caused by negligence, fraud).
13. Force majeure
Seller is not liable for failure or delay caused by events beyond reasonable control, including but not limited to shortages of materials, strikes, epidemics, transport disruptions, or government actions.
14. Intellectual property and confidentiality
No IP rights are transferred to Buyer other than the right to use Products as intended.
Non‑public information exchanged shall be kept confidential and used only for the purpose of the transaction.
15. Data protection
Personal data will be processed in accordance with Seller’s Privacy Notice (GDPR), available via the website footer.
16. Governing law and dispute resolution
These Terms and any dispute arising out of them are governed by the substantive laws of Sweden, excluding its conflict‑of‑laws rules and the UN CISG.
Any dispute shall be finally settled by arbitration under the SCC Rules. Seat: Stockholm, Sweden. Language: English.
17. Changes to Terms
Seller may update these Terms from time to time. The version published on the website at the time of order applies to that order, unless otherwise agreed in writing.
